Roxanne Miller is a Partner of the firm and the head of the firm’s Corporate and Commercial Department.
Roxanne practices primarily in the areas of corporate reorganizations, mergers and acquisitions, and intellectual property. She has advised clients on domestic and multi-jurisdictional corporate restructuring. She has represented both borrowers and lenders in multimillion US dollar commercial transactions supported by various security documentation including, debentures, promissory notes and guarantees from local companies and offshore SPVs.
She has authored and co-authored numerous articles in international and local publications including publications in the World Trademark Review, Informer Law and the Financial Gleaner.
Roxanne serves on the Council of the Students’ Loan Bureau. She is a former Director of the Foundation for the Development of Caribbean Children (FDCC) and the former Company Secretary of the Foundation For International Self Help Development (Jamaica).
Roxanne has been rated by IFLR1000 as “Highly Regarded” in the practice areas of Mergers and Acquisitions.

- 2013 – Advised on the restructuring and refinancing of one of the largest distribution conglomerates in the Caribbean and Central American region with operations in over 30 countries whose business lines include food, pharmaceutical, and telecommunications.
- 2015/2016 – Advised on the reorganization of domestic subsidiaries of a world-renowned Mexican hotel resort chain.
- 2015 – Represented a borrower in a US$ multimillion dollar secured loan to finance a full-service private hospital in Jamaica.
- 2016 – Member of a team which acted in the takeover of a company listed on the Jamaica Stock Exchange. DunnCox acted as legal counsel to an international beverage company during the Take Over Bid process.
- 2016-17 – Prepared and filed all documents related to converting Productive Business Solutions Limited to a public company and increasing its share capital to facilitate IPO. Drafted and finalized the Prospectus. Assisted with preparation of documents to list on Barbados Stock Exchange. Assessed major material contracts/litigation to determine potential risks.
- 2017 – Represented major regional commercial bank in the refinancing of a US multimillion secured credit facility to an automotive group.
- 2017-18 – Prepared and filed all documents related to converting Stanley Motta Limited to a public company and increasing its share capital to facilitate its Initial Public Offering (IPO). Drafted all board and general meeting notices, minutes and resolutions and all filings with the Companies Office of Jamaica. Drafted and finalized the Prospectus. Liaised with the broker, underwriter and auditors to finalize same. Reviewed and advised on relevant laws.
- 2019-2020 – Legal Adviser to the Enterprise Team overseeing the privatization of the Jamaica Mortgage Bank, a statutory corporation.
